These Terms and Conditions (the “Terms”) apply to every sale made through cerbo.ro by CERBO FUN TEL SRL (“Cerbo”, “we”) to business customers established outside Romania (the “Customer”). Customers established in Romania are covered by the Romanian version, Terms and conditions. By opening a partner account or placing an order, the Customer accepts these Terms. Any general terms of the Customer apply only if we accept them in writing.
1. Who we are
CERBO FUN TEL SRL, Utvin no. 339, Timiș County, Romania · VAT ID RO36558599 · Trade Register No. J2016002626357 (EUID ROONRC.J2016002626357) · email [email protected] · phone and WhatsApp +40 727 922 922 (Monday to Friday, 09:00–16:30 Romanian time).
Bank accounts (BCR): IBAN RON: RO76RNCB0249174876230001 · EUR Account: RO90RNCB0857174876230001.
2. Business customers only
We sell wholesale, exclusively to companies and other professional buyers who purchase for resale or for use in their business. We do not sell to consumers. Because every contract is a business-to-business contract, consumer protection rules — including the 14-day right of withdrawal under Directive 2011/83/EU — do not apply.
3. Partner account
- Prices are shown and orders can be placed only from an approved partner account.
- When applying, the Customer provides its company name, country and VAT number or other tax identification number. For customers in the European Union we check the VAT number in the EU VIES system.
- We may ask for additional documents, and we may refuse or close an account at our discretion, for example if the information provided is incorrect.
- The Customer keeps its login details confidential and is responsible for all orders placed from its account, including by its sub-accounts.
4. Orders and conclusion of the contract
- Orders are placed from the partner account (cart or Quick Order) or, while online ordering is not yet available for the Customer’s country, by sending the list of products (SKU or EAN codes and quantities) to [email protected].
- The automatic email confirming that we received an order is not an acceptance. The contract is concluded when we confirm the order — by sending the order confirmation or the proforma invoice — or when we dispatch the goods, whichever happens first.
- Products marked “Delivery in 3 days” or “Delivery in 3–5 days” are pre-order products, supplied to us from our suppliers’ warehouses. If a supplier cannot deliver a product, we may ship the rest of the order and cancel the missing lines; any amount already paid for them is refunded or credited.
- There is no general minimum order value. We may agree specific conditions with individual customers.
- Product images, descriptions and compatibility information are provided with care but are indicative. The Customer checks that a product suits its intended use. Brand and model names belong to their owners and are used only to describe compatibility.
5. Prices
- For customers established outside Romania, prices are in euro (EUR) and exclude VAT.
- The price that applies is the one shown in the order confirmation or proforma invoice. Prices on the website may change at any time without notice.
- Shipping costs and any cash-on-delivery fee are added separately and are shown in the cart or in the proforma invoice before the Customer pays.
- In case of an obvious pricing error, we may correct the price or cancel the order; the Customer is informed before dispatch.
6. VAT and invoices
- Deliveries to a customer in another EU Member State are invoiced without Romanian VAT as an intra-Community supply (reverse charge — Article 138 of Directive 2006/112/EC and Article 294(2)(a) of the Romanian Fiscal Code), provided that the Customer has a VAT number that is valid in VIES on the date of the invoice and the goods are transported to another Member State. The Customer accounts for VAT in its own country.
- If the VAT number is missing or invalid, Romanian VAT is charged at the rate in force.
- The Customer confirms receipt of the goods (for example by signing the courier’s delivery confirmation) when we request it as proof of transport.
- For deliveries outside the EU, import duties, taxes and customs formalities in the country of destination are the Customer’s responsibility.
- Invoices are issued electronically in EUR and sent by email.
7. Payment
- Bank transfer in advance: we send a proforma invoice and dispatch the goods after the full amount has reached our account. Bank charges on the Customer’s side are paid by the Customer.
- Cash on delivery (COD): the Customer pays the courier on delivery, where the courier offers this service in the Customer’s country. We may limit COD by order value or refuse it for a customer who has previously refused or failed to collect a parcel.
- If a COD parcel is refused or not collected, the Customer pays the shipping and return costs.
- Where we agree payment terms, late payments bear interest under Directive 2011/7/EU on combating late payment in commercial transactions, as implemented in Romanian law.
8. Delivery
- We ship through our courier partners (DPD and others). Products can also be collected from our warehouse in Utvin, Timiș County, Romania, Monday to Friday, 09:00–16:30.
- In-stock products ordered — and, for bank transfer, paid — by 15:30 Romanian time on a working day are usually dispatched the same day. Pre-order products are dispatched when they arrive from our suppliers, usually within 3 to 5 working days.
- Transit times within the EU are usually 2 to 6 working days, depending on the destination. Delivery times are estimates; delays caused by the courier do not entitle the Customer to cancel the order or claim damages.
- We may deliver an order in several parcels.
- Risk passes to the Customer when the goods are delivered to the address it has indicated or collected from our warehouse.
9. Checking the parcel on delivery
- The Customer checks the parcel in the presence of the courier. Visible damage is recorded on the courier’s document, or the parcel is refused.
- Missing products, wrong products and transport damage must be reported to [email protected] within 2 working days of delivery, with photos of the parcel, the packaging and the products. Later claims for these reasons can no longer be accepted.
- If we sent a wrong product, we replace it or credit it at our cost.
10. Retention of title
The goods remain the property of Cerbo until they have been paid in full.
11. Warranty
- Products are covered by a 12-month warranty from the invoice date against manufacturing defects.
- Claims are sent by email to [email protected] — or made from the Warranty & returns section of the partner account, where available — with the order or invoice number and photos or a video of the defect.
- For products with a unit price below EUR 6 (excluding VAT) we do not ask for the product back: we decide based on the photos or video and, if the claim is justified, we replace the product with the next order or issue a credit note.
- For products of EUR 6 or more per unit, the product is returned to us with a courier label provided by us, at our cost.
- We answer every claim within 15 days. If the claim is justified, we repair or replace the product or issue a credit note. If it is not justified, the Customer pays the shipping costs.
- The warranty does not cover applied screen protectors or tempered glass, products that have been dropped, knocked, exposed to moisture or liquids, modified or used improperly, or normal wear.
12. Returns of non-defective products
Non-defective products are not taken back, except with our prior written agreement. Agreed returns must be unused, in their original undamaged packaging, and are sent at the Customer’s cost.
13. Liability
Our total liability for any order is limited to the value of the products concerned, as invoiced. We are not liable for indirect or consequential losses, such as lost profit, lost business or the Customer’s liability towards its own clients. These limits do not apply to damage caused intentionally or by gross negligence, or where the law does not allow liability to be limited.
14. Resale and compliance
The Customer complies with the rules that apply to the resale of the products in its country, including language and labelling requirements and, where required, registration for extended producer responsibility (electrical and electronic equipment, batteries, packaging).
15. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, epidemics, war, strikes, failures of carriers or suppliers, or measures taken by public authorities.
16. Personal data
We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679. Details are given in our Privacy Policy (currently available in Romanian). Business newsletters can be unsubscribed from at any time using the link in each email.
17. Governing law and disputes
- These Terms and every contract concluded under them are governed by Romanian law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
- The parties first try to settle any dispute amicably, within 30 days of written notice.
- Otherwise, disputes are settled by the competent courts in Timișoara, Romania.
18. Changes
We may update these Terms. The version published on cerbo.ro on the date of the order applies to that order.
